1. Agreement to Terms

By accessing our website or engaging SimpleDev for any services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not use our services.

2. Services

SimpleDev provides digital solutions including, but not limited to, web development, mobile app development, SaaS development, AI & automation, UI/UX design, digital marketing, cloud infrastructure, and related consulting services. The specific scope, deliverables, timelines, and fees for each engagement are defined in a separate Statement of Work (SOW) or project agreement signed by both parties.

3. Payment Terms

• All projects require an advance payment as specified in the project agreement before work commences.
• Invoices are issued per the payment schedule agreed in the SOW. Payment is due within 7 days of invoice date unless otherwise agreed in writing.
• Late payments may attract an interest charge of 2% per month on the outstanding balance.
• SimpleDev reserves the right to pause or terminate work on any project where payment is overdue by more than 14 days.

4. Intellectual Property

Upon receipt of full and final payment, SimpleDev transfers ownership of all custom deliverables specifically created for the client under the project agreement. The following remain the exclusive property of SimpleDev:

• Pre-existing code, libraries, frameworks, and tools used in the project.
• Internal processes, methodologies, and know-how.
• Any open-source components (which remain subject to their respective licences).

5. Client Responsibilities

The client agrees to:

• Provide timely feedback, content, and approvals as required.
• Ensure all materials supplied to SimpleDev (text, images, data) do not infringe any third-party rights.
• Designate a primary point of contact who is authorised to make decisions on behalf of the client.

6. Project Changes & Scope Creep

Any changes to the agreed project scope will be documented in a Change Request. Additional work resulting from scope changes will be quoted and billed separately. SimpleDev is not obligated to begin change-related work until the change request is approved in writing.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement and not to disclose such information to third parties without prior written consent, except as required by law.

8. Limitation of Liability

To the maximum extent permitted by applicable law, SimpleDev shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to the services, including but not limited to loss of revenue, data, or business opportunity. Our total liability under any project agreement shall not exceed the total fees paid by the client for the specific project giving rise to the claim.

9. Warranties

SimpleDev warrants that services will be performed with reasonable skill and care. We provide a 30-day bug-fix warranty after project delivery, covering defects in our deliverables. This warranty does not cover issues caused by client modifications, third-party integrations, or changes in the hosting environment.

10. Termination

Either party may terminate a project agreement with 14 days’ written notice. Upon termination, the client shall pay for all work completed to date. SimpleDev will deliver all completed work upon receipt of outstanding payment.

11. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the courts located in India.

12. Changes to Terms

We reserve the right to update these Terms and Conditions at any time. Changes will be posted on this page with a revised date. Continued use of our services after changes constitutes acceptance of the updated terms.
